• Interfere with or disrupt the integrity or performance of the Services or data contained therein.
• Upload viruses, malware, or other malicious code.
• Attempt to gain unauthorized access to any systems or networks related to the Services.
• Use data mining, robots, scraping, or similar data-gathering methods except as explicitly permitted by Company.
• Impersonate any person or entity or falsely state or otherwise mirepresent your affiliation with a person or entity.

We may suspend or terminate your access to the Services for any breach of this Section or this Agreement.

Intellectual Property Rights

All content, features, and functionality included in the Services - including but not limited to text, graphics, logos, icons, images, audio clips, video, software, and the design, selection, and arrangement thereof - are owned by Mason Intelligence Inc and are protected by intellectual-property and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes in accordance with these Terms.

User Content

"User Content" means any information, data, and materials that you upload, post, transmit, or otherwise make available through the Services. You retain any ownership rights you have in your User Content, but you grant Mason Intelligence Inc a worldwide, royalty-free, sublicensable, transferable, perpetual license to host, store, reproduce, modify, adapt, publish, translate, distribute, publicly perform, and display such User Content solely for the purpose of providing, improving, and promoting the Services. You represent and warranty that you have all rights necessary to grant us this license and that your User Content does not violate any third-party rights orr applicable law.

The Services may contain links to third-party websites, applications, or services that are not owner or controlled by Mason Intelligence Inc ("Third-Party Services"). We provide these links only as a convenience and are not responsible for the content, products, or services on or available from Third-Party Services. You use of Third-Party Services is at your own risk and subject to the third party's terms and policies.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESSED, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, MASON INTELLIGENCE INC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERRROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MASON INTELLIGENCE INC OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) RESULTING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Indemnification

You agrere to defend, indemnify, and hold harmless Mason Intelligence Inc and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with your (i) access to or use of the Services; (ii) User Content; (iii) violation of these Terms; or (iv) infringement of any third-party right.

Termination

We may suspend or terminate your access to the Services (and/or delete your Account) at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties. Upon termination, all licenses granted to you will terminate and these Terms will survive.

Governing Law & Venue

These terms and any dispute arising out of or relating to them will be governed by and construed in accordance with the laws and the State of Delaware, without regard to its conflict-of-laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction. You waive any objection to venue and jurisdiction in such courts.

Electronic Communications

By using the Services, you consent to receive communications from us electronically (e.g., via email, in-app notifications, or postings on the Site) and agree that any notices, agreements, disclosures, or other communications we send electronically satisfy any legal communication requirements.

International Users

The Services are controlled and operated from the United States. We make no representation that the Services are appropriate or available for use in other locations. If you access the Services outside the United States, you do so at your own risk and are responsible for compliance with local laws.
